These Terms of Service (the “Terms”) govern access to and use of the ZopPay payment orchestration platform, including any APIs, code samples, dashboards, websites, and related services (collectively, the “Service”) provided by ZopPay Technologies Pvt. Ltd. (“ZopPay”, “we”, “us”). By signing up, creating an account, or using the Service, you (“Merchant”, “you”) agree to be bound by these Terms.
1. The Service
ZopPay is a technology orchestrator. We provide software that enables you to integrate once and then route payment instructions to third-party payment gateways (for example, Razorpay, PhonePe, PayU, Cashfree, Stripe, Paytm) with which you maintain your own direct commercial relationship. Where you connect your own gateway account, ZopPay does not acquire, settle, hold, or otherwise handle your funds: money flows between your customer, that gateway, and you — not through ZopPay.
2. Accounts and eligibility
You must be a registered business entity (or an individual acting in a bona fide commercial capacity) to use the Service for live transactions. You are responsible for the accuracy of the information you provide at signup and during billing-info capture, and for keeping your credentials secret. ZopPay may refuse, suspend, or terminate accounts that, in our reasonable judgment, violate these Terms or the Acceptable Use Policy.
3. Gateway relationships
You are solely responsible for (a) onboarding with, and completing any Know-Your-Customer or underwriting process required by, each third-party payment gateway you connect to the Service; (b) complying with each gateway's terms and rules of use; and (c) the commercial arrangements, merchant discount rates, and settlement schedules applicable between you and each gateway. ZopPay is not a party to those arrangements.
4. Fees and invoicing
ZopPay charges an orchestration fee as described on the Pricing page or agreed with you in writing. Fees are computed monthly and invoiced on the first business day of the following month. Invoices are payable within fifteen (15) days of issuance. Late amounts accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower. ZopPay reserves the right to suspend live-mode transactions for materially overdue accounts, subject to prior written notice.
5. Your responsibilities
- Using the Service only for lawful business activities and in accordance with the Acceptable Use Policy.
- Providing clear, accurate, and non-misleading information to your customers about the nature of every transaction.
- Honouring refund, chargeback, and cancellation rights that apply under law, applicable gateway rules, or your own merchant terms.
- Implementing reasonable security controls, including verification of webhook signatures and protection of API key secrets.
6. Restrictions
You may not (a) use the Service to process transactions for goods or services you do not own or are not authorised to sell; (b) resell the Service to third parties without a written agreement; (c) reverse-engineer the Service or attempt to circumvent its access controls, rate limits, or signing requirements; or (d) use the Service in a manner that imposes an undue burden on our infrastructure or that of our downstream gateways.
7. Intellectual property
ZopPay retains all right, title, and interest in and to the Service, its documentation, and any derivative works thereof. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service and its code samples for the purpose of integrating your own applications with ZopPay.
8. Confidentiality
Each party will protect the other's confidential information with at least the same degree of care it uses to protect its own, and in no event less than reasonable care. Confidential information does not include information that is or becomes public through no fault of the receiving party, was independently developed without reference to the disclosing party's information, or is lawfully received from a third party without a confidentiality obligation.
9. Service levels, warranties, and disclaimers
Except as expressly set out in a written agreement (for example, a signed order form), the Service is provided “as is” and without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. ZopPay does not warrant that the Service will be uninterrupted, error-free, or that it will meet any specific performance or availability target.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or in connection with these Terms, even if advised of the possibility of such damages. Each party's aggregate liability arising out of or in connection with these Terms is limited to the fees paid or payable by Merchant to ZopPay in the twelve (12) months immediately preceding the event giving rise to the claim.
11. Indemnification
You will defend, indemnify, and hold harmless ZopPay and its officers, directors, and employees from and against any third-party claims, losses, or expenses (including reasonable legal fees) arising out of (a) your use of the Service; (b) the products or services you sell; or (c) your breach of these Terms or applicable law.
12. Term and termination
These Terms take effect when you create an account and continue until terminated. Either party may terminate for convenience with thirty (30) days' written notice. Either party may terminate for a material breach that is not cured within fifteen (15) days of written notice. On termination, ZopPay will disable live-mode access; historical data remains available to you for export for a reasonable period, as described in the Privacy Policy.
13. Changes to these Terms
ZopPay may update these Terms from time to time. Material changes will be announced with at least thirty (30) days' notice by email and via the ZopPay dashboard. Continued use of the Service after the effective date of a change constitutes acceptance of the updated Terms.
14. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka, without prejudice to any mandatory consumer-protection rights Merchant may have under applicable local law.
